Lear Corporation Signs Letter of Intent to Acquire 100% of Lear-Donnelly Joint Venture Company

SOUTHFIELD, Mich., July 2, 1999 - Donnelly Corporation (NYSE: DON) and Lear Corporation (NYSE: LEA) today signed a letter of intent for Lear to acquire Donnelly's 50-percent stake in Lear-Donnelly Overhead Systems, L.L.C. (LDOS), the joint venture in which the two automotive suppliers are currently equal partners.

The transaction is subject to regulatory approval and is expected to be completed by late summer. Terms of the transaction were not released. LDOS designs and manufactures overhead systems for the automotive industry. The joint venture was formed in 1997 by Donnelly and Lear, with each company contributing certain assets. The LDOS product line includes headliners, sun visors, lighting and overhead consoles.

 

Federal-Mogul Announces the Organizational Structure for the Visibility Group

SOUTHFIELD, Mich., July 2, 1999 - Frank Tomes, executive vice president, General Products, Federal-Mogul Corporation (NYSE: FMO), announces the organizational structure for the Visibility Group, effective immediately:

- James T. Boyd, director, lighting operations, North America
- William F. Buchman, vice president, OE sales and marketing, lighting products
- Rene Dalleur, managing director, wiper products, Europe and South Africa
- Robert N. Faulhaber, director, wiper operations, North America
- Richard A. Kurt, director, human resources
- Mario Machado, general manager, lighting and wipers, Brazil
- Terry Ressler, director, OE sales and marketing, wiper products, North America
- Joe Stephan, director, aftermarket marketing, North America
- Barry Whipple, division controller

All positions will report directly to Terry Graessle, vice president, visibility group, General Products, with the exception of Rene Dalleur, who will continue to report directly to Kevin Baird in Europe. "By combining our wiper and lighting operations, we are able to bring an exciting and improved offering to our customers," said Tomes.
